From what I have seen, they look absolutely similar and their functionality are pretty much the same.

Your Tomboy notes are stored in the directory ~/.local/share/tomboy/. You can change the default directory for your notes by following these instructions.
Open a terminal and then run these commands:
sudo cp /etc/profile /etc/profile.bakgksudo gedit /etc/profileCopy and paste this line in the document just opened.
export TOMBOY_PATH=/path/to/your/directoryThis will set up
/path/to/your/directoryfor your Tomboy PATH. Change/path/to/your/directoryto whichever directory you want to store your notes.Log out and log back in and now Tomboy will read the notes saved in that directory.
Do note that the notes already saved in the old directory will not be automatically imported into the new directory. You have to copy over to the new directory yourself.

Gnote is a port of Tomboy to C++.
Pros: Faster, smaller memory footprint.
Cons: (Still) No synchronization support (e.g. Ubuntu one), which is a dealbreaker for most people.
You can read about the author's motives here.
Tomboy is not going to be installed by default in Ubuntu 12.04 - I suppose Gnote may take its place some day.
